UK Watchdog Reviews Akzo Nobel-Axalta Merger

A UK watchdog has commenced a review of Akzo Nobel’s proposed acquisition of Axalta. Akzo Nobel N.V. and Axalta Coating Systems Ltd. previously announced their definitive agreement to combine. The transaction is structured as an all-stock merger of equals. Akzo Nobel and Axalta plan to create a global coatings company through this merger. The companies disclosed the merger on November 18, 2025. Axalta shareholders have already approved the proposed all-stock merger of equals. The combination with Axalta is projected to deliver approximately $600 million in synergies. An analyst suggested that Akzo Nobel faces challenges in securing shareholder support for the merger deal. Akzo Nobel stock has seen a decline of almost 30% over the past five years. However, current valuation checks indicate the shares may trade at a discount to their estimated intrinsic value.
